Senior Corporate Paralegal

The firm is seeking a Senior Corporate Paralegal to provide high-level legal support on complex corporate transactions and entity management. This role involves assisting with the formation, maintenance, and dissolution of corporate entities, as well as preparing and filing organizational and corporate governance documents. The paralegal will coordinate transactional closings, draft and review transaction-related materials, and assist in preparing legal opinions and supporting documentation. Additional responsibilities include managing corporate records, conducting due diligence reviews, preparing stock certificates, maintaining capitalization tables, and handling securities and Blue Sky filings.

The Senior Corporate Paralegal is expected to operate with a high degree of independence while supporting attorneys on matters involving private equity, capital markets, and mergers and acquisitions. The role also includes mentoring junior staff and contributing to overall team efficiency.

Qualified candidates must have a bachelor’s degree and at least five years of transactional experience, preferably within private equity, capital markets, or M&A. Strong organizational, analytical, and communication skills are essential, along with the ability to manage multiple priorities and handle confidential information with discretion. Advanced proficiency in Microsoft Office, particularly Excel, is required. Familiarity with equity tracking platforms such as Carta or Shareworks is preferred.

The expected hourly pay range is $65.00 to $85.00 ($135,200 to $176,800 annually), depending on experience and location.
