The Mid-Level Corporate Paralegal specializing in Capital Markets and Public Companies will handle key responsibilities such as managing IPO documentation, including registration statement spreadsheets and beneficial ownership tables, ensuring compliance with the Securities Exchange Act of 1934, Section 16 reporting, Rule 144, and legend removal procedures. The role involves onboarding transfer agents, preparing stock exchange applications, submitting FINRA filings, and coordinating transactional closing documents, volumes, as well as board resolutions and minutes.

Candidates must possess strong communication, research, and organizational skills, with the ability to multitask in a fast-paced environment. Familiarity with AI tools and a willingness to learn emerging technologies is preferred. Experience in a large corporate or law firm setting, extensive proficiency with Excel, and a relevant four-year degree or ABA-approved paralegal certification are required. A minimum of three years’ experience in corporate and transactional law is essential. The position offers a hybrid work schedule, requiring three days onsite per week at any of the firm’s U.S. offices, with potential additional in-office days based on business needs. The expected salary range is $85,000 to $133,750, depending on experience, education, and location
